I am a huge Batman fan just so people realize.
For no prep, I'd give it a draw. As I doubt Cap or Bat would stay in a fight that held nothing for their lives. No hostages, no important information or anything worth really protecting. Neither holds their pride in having to win in the first encounter so high that they must win. Of course, there are rare storyline instances where they lose badly first encounter. Also neither would kill the other as it isn't just done to kill by either.

Prep, Batman wins.He could some how get a way to reverse the serums effect. He could do something about the shield. Given prep time, Batman will have a near perfect plan with so many safety nets in place that I can't see him loosing.

Assuming they had a genuine reason to be fighting in the first place as long as it takes. You cant quantify fight length. They could each end a martials arts only fight in one strike although seeing Cap fight Iron Man Ive more confidence he could survive a clean shot a little better than Bats. Or they could counter and parry each other until one of them gets tired. Hint hint.

yea but if they kept fighting until one of them gets tired batman will lose c. america have more stamina and raw power.

I would say Batman is the Urahara of super heroes.

Batman wins in my opinion. It'll be a tough fight. While Batman is physically weaker, he has more brains going for him and he's quite the tactician.
